Jurisdiction and Governing Law

 

Your use of the website and these terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Full Circle Waste Services controls this website from within the country of England. It can, however, be accessed from other places around the world. Although these places may have different laws from those of England, by accessing this website you agree that the laws of England, without regard to rules relating to conflict of laws, will apply to all matters relating to your use of this website. You and Full Circle Waste Services also agree to submit to the non-exclusive jurisdiction of the English courts, with respect to such matters. Users of this website accessing it from places outside of England acknowledge that they do so voluntarily and are responsible for complying with local laws.

Conditions of Sale

 

1.0. Collection of Refuse

 

Full Circle Waste Services will sub contract the collection of the refuse and other waste types to the schedule stated in this contract. Waste must be properly contained in the receptacle provided by the sub-contractor. Full Circle Waste Services will only supply the collection of waste on the basis of the amount stated under in this contract Excess waste will be not be collected unless pre-arranged and payment agreed, overfilled bins and waste placed to the side or on top of a container is considered excess waste. The customer will only put the agreed waste type in the relevant container(s) agreed for that service, if the wrong waste type is placed in a bin this will be considered contamination and we reserve the right to not service that bin until the contamination is removed or a contamination charge may be applied to cover any additional cost of disposal, the customer holds responsibility for any contamination. The waste subject of this contract will be taken to a site authorised to receive such waste under Section 5 or Section 11, Control of Pollution Act 1974 or any successive legislation.

 

1.1. Access to Container(s)

 

The customer shall ensure the Full Circle Waste Services employees, sub-contractors and refuse collection vehicles have at all times free and unobstructed access to the containers so that the refuse may be emptied directly into the vehicles. If such access is not provided Full Circle Waste Services shall not be under any obligation to discharge its duties and a wasted journey charge equal to the agreed charge per empty or calculated equivalent value of the un-emptied containers outlined in this contract will be applied. The duty to keep access clear lies with the customer and is their responsibility whether the obstruction is caused by the customer or not.

 

1.2. Removal of Container(s)

 

The customer shall not remove the container(s) from the collection address, and the container(s) shall remain the ownership of the Full Circle Waste Services or its sub-contractors.

 

1.3. Inspection of Container(s)

 

The customer shall permit any person duly authorised by Full Circle Waste Services at all reasonable times to enter the premises at the collection address for the purpose of inspecting and examining the condition of the container(s).

 

1.4. Care of Container(s)

 

The customer shall indemnify Full Circle Waste Services against loss or damage to the container(s) or any part thereof from whatever cause arising and whether or not such loss or damage results from the negligence of the customer except that the customer shall not be responsible for any damage which is caused by Full Circle Waste Services’s employees or sub-contractors in emptying the container(s) and the customer shall not be responsible for wear and tear of the container(s). In the event of a bin being lost, stolen or damaged, the customer must provide us with a crime number

 

1.5. Dangerous Substances

 

The customer shall not cause or permit any inflammable, toxic or dangerous substances to be placed in the container(s). If any substances are present in the container(s) Full Circle Waste Services shall not be under any obligation to discharge its duties and a wasted journey charge equal the agreed charge per empty or calculated equivalent value of the un-emptied containers outlined in this contract will be applied. If the customer is in any doubt as to what is a dangerous substance, he should contact Full Circle Waste Services.

 

1.6. Description of waste

 

The customer is under a legal duty to provide Full Circle Waste Services with an accurate description of the waste to be collected under the contract to enable Full Circle Waste Services to fulfil its obligations.

 

1.7. Container Cleanliness

 

It is the responsibility of the customer to maintain the cleanliness of containers unless an add-on package including a periodic clean is purchased and outlined in this contract.

 

1.8. Loose waste

 

Full Circle Waste Services’s general policy is only to service containerised waste. However, Full Circle Waste Services recognises the need to leave the customer's premises in a clean and tidy condition avoiding any environmental problems associated with loose waste and provided the customer had indicated his willingness to pay a fee based on a site assessment by Full Circle Waste Services's operatives, Full Circle Waste Services shall move occasional excess waste. If removal of loose waste occurs on a regular basis Full Circle Waste Services reserves the right to review the customer’s container requirements.

 

1.9. Service Schedule

 

Full Circle Waste Services reserves the rights to change the service days to meet with operational requirements which where possible will be notified to the customer in advance.

 

If through operational difficulties Full Circle Waste Services is not able to service the customer’s requirements on the scheduled day Full Circle Waste Services reserves the right to re-schedule the service to the earliest possible opportunity without liability to the customer.

 

2.0. Missed Collection

 

Missed collections should be notified within 24 hours, if a reason for the missed collection is to be investigated and a credit note to be given. Depending on the missed collection being deemed not to be directly or indirectly the fault of the customer otherwise an equivalent wasted journey charge will be applied. All service issues should be communicated directly to Full Circle Waste Services via the customer’s account manager or customer service department. It's important that the customer reports all service issues promptly so we can track any problems and source a new service provider if problems persist. If issues are not reported Full Circle Waste Services can take no responsibility for service issues, if we are not made aware of them. Missed collections are not always reported to us by sub-contractors and the duty to report such issues is with the customer solely.

 

2.1. Termination of agreement

 

2.1.1. Termination by Full Circle Waste Services

 

Full Circle Waste Services may terminate this agreement giving one calendar month's written notice.

 

2.1.2. Termination by the Customer

 

2.1.2.1. If the Customer commits any breach of this agreement Full Circle Waste Services may, in addition to its other rights in respect thereof, give notice to the Customer to terminate this agreement immediately or, at the option of Full Circle Waste Services, after 21 days from the date of such notice if the Customer shall not have remedied the breach to Full Circle Waste Services’s satisfaction during that time.

 

2.1.2.2. If the Customer shall have a receiver, an administrator or an administrative receiver appointed for the whole or any part of its assets or if an order shall be made or a resolution passed for its winding-up (unless this is for the purpose of its reconstruction or amalgamation) then this agreement shall terminate forthwith with 80% of the contract value being liable to the customer.

 

2.1.2.3. Either party may terminate this agreement by the service of notice, which must be made out in writing and sent via recorded mail. The termination of this agreement cannot be made by the customer until the end of the initial twelve months from the commencement date. Thereafter, if the customer wishes to terminate this agreement they must do so in writing to Full Circle Waste Services and the service will expire six months after the date of receiving the recorded mail.

 

2.1.2.4. If Full Circle Waste Services elects to terminate this agreement under Clause 2.1.2.1., or the agreement is terminated under 2.1.2.2., or the Customer wishes to terminate the Agreement other than in accordance with clause 2.1.2.3. then the Customer shall pay all Charges accrued due and in addition shall pay to Full Circle Waste Services as liquidated damages (and the Customer acknowledges this to be a genuine pre-estimate of the likely loss which Full Circle Waste Services would incur in such event) for the period (the “Damages Period”) from the date of such termination to the earliest date on which this agreement could validly be terminated by a notice given in accordance with Clause 2.1.2.3., the following amount:-

 

2.1.2.5. in the case of Customers for which Full Circle Waste Services collects or sub-contracts the collection of waste on a scheduled Collection Day, an amount equal to 80% of the aggregate Daily Rental and Collection Charge which would have become payable in respect of the Service during the Damages for the period the customer signed for.

 

2.1.2.6. Full Circle Waste Services may Termination this Agreement on notice and without liability to the Customer if Full Circle Waste Services reasonably considers that it cannot provide the Service (or any part of the Service) safely or the Customer has not signed and returned a valid Transfer Note(s).

 

2.1.2.7. Termination of this agreement shall be without prejudice to any rights or liabilities of either party which may have accrued to that date.

 

3.0. Invoicing procedures

 

3.1. Monthly payments

 

Invoices will be raised and payments required according to the service contracted. If within the first month of starting the contract, payments will be required in advance for the collections carried out within the first month. Monthly payments can only be made if invoicing is carried out via an electronic format such as email and must be set-up with a standing order or direct debit to be paid towards that month’s start. The customer is liable to pay Full Circle Waste Services the charge for collection and disposal of refuse within 21 days of receipt of invoice, interest will be charged at an appropriate rate in the event of late payment.

 

3.2. Quarterly payments

 

Invoices will be raised and payments required according to the service contracted. If within the first month of starting the contract, payments will be required in advance for the collections carried out within the first month and the first subsequent two months. Thereafter, monthly payments can only be made if invoicing is carried out via an electronic format such as email and must be set-up with a standing order or direct debit to be paid towards each months start. The customer is liable to pay Full Circle Waste Services the charge for collection and disposal of refuse within 21 days of receipt of invoice, interest will be charged at an appropriate rate in the event of late payment.

 

3.4. Charges and Payments

 

Full Circle Waste Services reserves the right to vary its charges for the service with 7 days’ notice to the customer.

 

3.5. Deposits

 

Any deposit paid to Full Circle Waste Services is non-refundable unless pre-agreed in writing by a director of Full Circle Waste Services. Deposits are only taken in the event that a customer want's Full Circle Waste Services to undertake administrative work prior to service start, while they serve their notice period with their existing provider. This deposit will be used as part payment once the service starts but in the event the customer changes their mind before service start it will be used to cover administration costs.

 

4.0. Conditions of Service Provision (sub-contractors)

 

4.1. Health & Safety

 

Due to Full Circle Waste Services’ limited direct control of the physical activity of our service providers on site, all sub-contractors must accept total responsibility for health and safety issues. Full Circle Waste Services will not be held responsible for accidents of any nature caused by employees of sub-contractors. Full Circle Waste Services may provide any on-going subcontractor with a risk assessment before they attend site if directed to do so in writing. It is the responsibility of the sub-contractor to digest this information and formulate a reliable procedure for dealing with any specific issues based on this report. Upon agreeing to service a site on our behalf any sub-contractor agrees automatically and absolutely to take full and ultimate responsibility for health and safety matters.

 

4.2. On-Site Replacement

 

On accepting any work from Full Circle Waste Services a service provider agrees unconditionally not to directly replace Full Circle Waste Services on any site to which Full Circle Waste Services introduced that service provider as a sub-contractor.  By "directly replace" Full Circle Waste Services means that a sub-contractor shall not under any circumstances take over waste collection services of  a customer  Full Circle Waste Services introduced them to,  without a third party waste service provider having supplied that site with a service after the exit of Full Circle Waste Services in the interim.
